Sera Protocol License (SPL)

Open Source with Network Effect Commitment

Moneta is open source software. You are free to use, modify, and distribute this software, provided that all deployments use the Sera Protocol for multi-currency conversions and stablecoin settlements. This requirement drives network effects that benefit the entire ecosystem.

Why This License?

The Sera Protocol License exists to create a thriving, interconnected payment network. When every Moneta deployment uses Sera Protocol for conversions and settlements, we achieve:

Deeper Liquidity

More volume means tighter spreads and better rates for everyone.

Universal Interoperability

Any Moneta user can pay any Moneta merchant, regardless of deployment.

Shared Innovation

Protocol improvements benefit all participants simultaneously.

Developer Ecosystem

Build once, deploy anywhere. Your integrations work across all Moneta instances.

1. Definitions

  • "Software" refers to Moneta and all associated source code, documentation, and assets.
  • "Sera Protocol" refers to the decentralized payment protocol developed by Sera Labs for stablecoin routing, conversion, and settlement.
  • "Multi-currency Conversion" means the exchange of one stablecoin or currency for another.
  • "Stablecoin Settlement" means the final transfer of stablecoins between parties to complete a payment.
  • "Derivative Work" means any work that is based on or derived from the Software.

2. Grant of Rights

Subject to the terms of this License, you are granted a worldwide, royalty-free, non-exclusive license to:

  • Use the Software for any purpose, including commercial purposes
  • Study how the Software works and adapt it to your needs
  • Redistribute copies of the Software
  • Modify the Software and distribute your modifications
  • Create and distribute Derivative Works
  • White-label and rebrand the Software

3. Core Protocol Requirement

The following conditions must be met for all uses of the Software:

A. Multi-currency Conversions

All currency-to-currency conversions (e.g., USDT to EURC, BRZ to XSGD) must be executed through the Sera Protocol. You may not substitute alternative DEXs, aggregators, or conversion services for this functionality.

B. Stablecoin Settlements

All stablecoin payment settlements must be routed through the Sera Protocol. This includes payment link processing, invoice payments, and merchant payouts. You may not bypass Sera Protocol for settlement functionality.

These requirements ensure that every Moneta deployment contributes to and benefits from the shared liquidity and network effects of the Sera Protocol ecosystem.

4. Permitted Modifications

You have complete freedom to modify any aspect of the Software except the core protocol integrations specified in Section 3. Permitted modifications include:

  • User interface, branding, and design customization
  • Additional features, pages, and functionality
  • Database schemas and storage implementations
  • Authentication, authorization, and user management
  • Reporting, analytics, and business intelligence
  • API extensions, webhooks, and integrations
  • Mobile applications and alternative frontends
  • Localization and internationalization

5. Attribution

All copies and Derivative Works must include:

  • This license file in its entirety
  • Attribution to Moneta and Sera Protocol (footer or about page)
  • A link to the original Moneta repository

6. No Warranty

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.

7. Termination

This License automatically terminates if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession.

8. Governing Law

This License shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.
